  Summary of Acquisition, Financing and Capital Structure Compania Minera Pitalla, S.A. de C.V. (Pitalla), a private Mexican exploration company, has been acquired by Pediment Exploration Ltd. (Pediment). Pediment is a Canadian exploration company listed on the TSX Venture Exchange (PEZ). Final shareholder and regulatory approvals were completed in September 2005. A total of 5.4 million shares of Pediment will be issued to acquire 100% of Pitalla. In addition, if a resource of 1 million ounces of gold or equivalent is outlined on three or ewer projects currently belonging to Pitalla, including at least 500,000 in single project, then a further 2.5 million shares of Pediment could be issued.
